Mark Boidman is an investment banker and attorney at law in the media and entertainment sector with more than 15 years of mergers and acquisitions experience.[1] He has been recognized by digital media industry executives and professional publications as the leading investment banker in the out-of-home media sector. His clients have included Branded Cities, Cox Enterprises, DirecTV, Fairway Media, Lionsgate Entertainment, RMG Networks, Scripps Networks, TiVo, Van Wagner and General Atlantic. [2] A cancer survivor, he founded “AntiOX In-a-Box” in 2007, an e-commerce company dedicated to promote antioxidant snacks, products, and healthy habits.

Mr. Boidman has received joint LL.B and Bachelor of Civil Law degrees with Distinction from the Faculty of Law at McGill University (2000.) During his final year at McGill University, he clerked for the Superior Court of Quebec. Prior to law school, he studied business at McGill’s Faculty of Management and was named to the Dean’s Honor List. He was also a recipient of the J.W. McConnell Scholarship.

A managing director at Peter J. Solomon (PJSC), in the Media, Entertainment, Communication and Technology advisory practice, he has senior management responsibility for the firm’s Advertising and Out-of-Home Media practice. Additionally he currently serves on the board of directors of the Digital Signage Federation, a not-for-profit organization dedicated to the advancement of the Digital Signage industry in the United States. He is currently a member of the New York and Massachusetts State Bars.[3] He is a frequent speaker at industry events, including the Digital Signage Expo and the Annual Daily DOOH/Digital Signage Investor Conference.[4] And a contributor of PJSC’s monthly sector report and newsletter “The Media Monthly” (formerly known as The Advertising Market-At a glance.) [5]

He is married to Andrea Boidman, former executive director of the Hearing Health Foundation[6] and current executive director of the Osteo Science Foundation[7]a not-for-profit organization dedicated to advance hard and soft tissue regeneration in the area of oral, cranial and maxillofacial surgery through high-quality basic and clinical research.


Background

In 2000, Mark Boidman joined Paul, Weiss, Rifkin, Wharton & Garrison a law firm in New York City. Here he practiced law for four years in the Internet, Media, and Technology Merger and Acquisition Group. He also served on the law firm’s Public Matters and Hiring Committees and was elected to its Associates Committee. He represented private equity firm, General Atlantic in several transactions including: SSA Global Technologies, Panti Computer Systems; Schaller Anderson; and Tickets.com (PIPE transaction.) He also represented Warner Music Group for sale of Warner Bros. Publications to Alfred Publishing.

From 2004 to 2013, Mr. Boidman joined Barclays Capital (originally Lehman Brothers) in the Investment Banking Division in New York City. During his stint at Barclays Capital he executed more than $40 billion in invesments.[8] He was head of the firm’s Out-of-Home Advertising (DOOH), TV Broadcasting and Radio coverage and was a senior member of the firm’s Defense/Activism team. At Lehman Brothers, he was an Associate and then Vice President in the Global Mergers and Acquisitions Group and a member of its Global Advisory Committee. During this period of time, he was an advisor to Lionsgate for the acquisition of Summit Entertainment; to Van Wagner for the acquisition of Fuel Outdoor; to TicketMonster for sale to Living Social [9], and to Discovery Communications for acquisitions of HowStuffWorks and Convex Group.

In 2007, Mr. Boidman launched “AntiOx in a Box” (www.AntiOXinabox.com) an e-commerce company dedicated to promote antioxidant snacks, products and healthy habits.

On Nov. 9, 2012, Mr. Boidman was instrumental in the process for RMG Networks to become a public company. According to a Second Amended and Restated Offer To Purchase For Cash SEC document:

“On November 9, 2012 Mark Boidman of Barclays Capital, Inc., RMG’s investment banker, introduced an associate of Donald R. Wilson, Jr., the beneficial owner of DOOH, to Garry McGuire, Chief Executive Officer of RMG, via teleconference. Mr. Wilson had made previous investments in the digital-out-of-home advertising industry, and Mr. Wilson’s associates had previously been introduced to Mr. Boidman as an investment banker in the sector.”[10]
The next day, Gregory Sachs, SCG’s CEO, spoke via teleconference with Wilson, and during the discussion, Wilson described RMG to Sachs and the two discussed whether RMG would be an attractive target candidate for SCG.

In March 2013, Mark Boidman spoke with Phil Cohen, President of America’s Minority Health Networks, during the Digital Signage Expo (DSE) in a recorded interview. This interview provides an inside perspective as to how investors look at the DOOH space.[11] The DSE is the official trade show of the Digital Signage Federation, a nonprofit trade organization serving the worldwide digital signage, interactive technologies and digital-out-of-home (DOOH) network industries. In October 2013, during the DailyDOOH Investor conference Mr. Boidman addressed important topics taking place in the industry such as the media convergence and its impact on DOOH; how social media is becoming a key DOOH component; whether mobile will cannibalize or replace digital signage and digital ad networks; and the advertising shift to programmatic buying.[12]

Mr. Boidman left Barclays Capital early 2013.[13]

Recent events

On May 2013, Mark Boidman joined New York investment bank Peter J. Solomon (PJSC) as managing director in the Media, Entertainment, Communication and Technology advisory practice.[14] [15] At the time of the announcement, PJSC President Kenneth T. Berliner stated: “Mark will deepen our presence in the media sector with his expertise in out-of-home advertising, TV broadcasting and radio coverage.”[16]He also has senior management responsibility for the firm’s Advertising and Out-of-Home Media practice; including covering companies in the advertising sector, including digital signage and digital out-of-home.

In an interview, September 2013, Mr. Boidman expressed his views regarding the intersection between DOOH and other sectors like healthcare, radio and TV, transit, cinema and retail:

“There’s been a lot of talk about consolidation, but I really think that we are at the point where 2014 will see it happen,”
“Fitness is a category that we like. We see it as a strong category. Historically, it has had some challenges but is doing well now,”
“In 2014, we see synergies in putting together companies in various sectors: in transit, in healthcare, and in entertainment – which includes restaurants and theatres, too. Consolidation opens the door to different types of advertisers for many companies that are currently too small to attract them. It increases the number of eyeballs, and more eyeballs interests advertisers.”[17]

Early 2014 PSJC announced that Mr. Boidman would be a keynote speaker at the Digital Signage Expo DSE2014 in Las Vegas, Nevada. His keynote “How out-of-home advertising is facilitating the shift from e-commerce to m-commerce” explored how “With the convergence of media and retail with technology, DOOH advertisements are becoming the point-of-sale and the new shop window;” highlighting the importance of content, in advertising, as a vehicle to engage an audience.[18] Additionally, alongside Steve Hargis, Brian McClimans and Rob Winston, Mark Boidman was elected to the board of directors of Digital Signage Federation.[19][20]

His article "Out-of-Home Media as the Gateway to Mobile Commerce and Retargeting" was published in February 2014 in the Journal of Retail Analytics[21], a quarterly publication by Platt Retail Institute, LLC. an international consulting and research firm that focuses on the use of technology to impact the customer experience.
