Quality Distribution, Inc. (“Quality”) (NasdaqQLTY ) operates the largest chemical bulk tank truck network in North America through its wholly owned subsidiary, Quality Carriers, Inc. (“QCI”), and is also the largest provider of intermodal International Organization for Standardization (“ISO”) tank container and depot services in North America through its wholly owned subsidiary, Boasso America Corporation (“Boasso”). In 2011, Quality began providing logistics and transportation services, including the transportation of crude oil, fresh water and production fluids, to the unconventional oil and gas (“UCO&G”) market through its wholly owned subsidiaries, QC Energy Resources, Inc. and QC Environmental Services, Inc. (collectively “QCER”). Quality operates an asset-light business model and services customers across North America. As of June 30, 2014, Quality operated through a network of 94 terminals servicing the chemical and other bulk liquid markets, 9 ISO tank depot services terminals (intermodal) also servicing the chemical and other bulk liquid markets and 16 terminals servicing the energy market. Quality utilized approximately 3,600 drivers and managed a fleet of approximately 3,200 tractors, 5,500 trailers and 1,200 pieces of other energy logistics equipment. Quality’s asset-light business model operates via business networks. These networks consist of terminals owned or operated by independent affiliates and terminals owned or operated by Quality and a driver pool consisting of independent owner-operators drivers, independent affiliate-employed drivers and company-employed drivers. These independent affiliates and independent companies with which Quality contracts to operate trucking terminals and provide transportation services exclusively on Quality’s behalf in defined markets. These independent affiliates generally provide the capital necessary to service their contracted business and are also responsible for most of the operating costs associated with servicing the contracted business. Quality maintains ownership of the customer contracts and relationships and provides the independent affiliates with back-office support in areas such as safety, sales, cash flow, insurance, maintenance oversight, technology and asset support.
