Gray Matter Interactive was founded as Xatrix Entertainment in 1993 by Drew Markham and Barry Dempsey. The company was renamed Gray Matter Interactive on June 17, 1999, and was acquired by Activision on January 14, 2002. In 2005, the studio was merged into Treyarch, another California-based Activision studio.
