La Liga 1939–40 season was the ninth since its establishment. The season started on December 3, 1939, and finished on April 28, 1940. It involved the following clubs:

1 Oviedo CF did not play in the first division 1939/40 due to the poor condition of their field at Buenavista after the Civil War. It was decided to allow Oviedo CF one season to improve their pitch, automatically allowing them to play in the first division in 1940/41. For the open place in the first division in 1939-40 a playoff between Athletic Aviación Club and Atlético Osasuna, the two teams relegated after the 1935-36 season was organized. Athletic Aviación Club won 3–1.

Since Oviedo CF was promised one spot in the first division in the 1940-41 season, only the first-placed team from the Segunda División in 1939-40 would be given an automatic berth to the first division. The second-placed team could also earn promotion in a special play-off against the 10th-placed team in the first division. Celta de Vigo won the playoff and remained in the top division.
